Terms of Service

1. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 18, you may only use the Service with the consent and supervision of a parent or legal guardian. By using the Service, you represent that you meet these requirements.

2. Account Registration

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
• Notify us immediately at support@gpt-images.com if you suspect unauthorised access.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for lawful purposes. You may:

• Generate images for personal, commercial, or professional purposes.
• Download and use generated outputs in accordance with Section 5.
• Integrate with our API under any applicable API terms.

You may not:

• Use the Service to generate content that is illegal, harmful, defamatory, obscene, or violates any third-party rights.
• Generate photorealistic images of real, identifiable individuals without their consent.
• Create content designed to deceive, defraud, or manipulate others (e.g. deepfakes for malicious purposes).
• Attempt to reverse-engineer, scrape, or extract underlying model weights.
• Resell access to the Service or sublicence your account.
• Use automated tools to abuse the Service or circumvent usage limits.
• Violate any applicable law or regulation.

4. Content You Submit

You retain ownership of the prompts and reference images you submit ("Input Content"). By submitting Input Content, you grant us a limited, worldwide, royalty-free licence to process it solely for the purpose of providing the Service. We do not use your Input Content to train our models without your explicit consent. You are solely responsible for ensuring your Input Content does not infringe third-party rights or violate applicable laws.

5. Ownership of Generated Images

Subject to your compliance with these Terms and applicable law, we assign to you all rights we may have in images generated by the Service in response to your prompts ("Output Content"). You may use Output Content for personal, commercial, editorial, or other lawful purposes without crediting us, unless otherwise required by law.

We make no warranty that Output Content is free from third-party intellectual property claims. You are responsible for evaluating whether your use of Output Content requires additional clearances.

6. Payments & Subscriptions

• Paid plans are billed in advance on the cycle you select (monthly or annual).
• All fees are non-refundable except where required by applicable law or as stated in our refund policy.
• We may change pricing with 30 days' notice to subscribers.
• Failure to pay may result in suspension or downgrade of your account.
• Taxes may apply depending on your jurisdiction; you are responsible for any applicable local taxes.

7. API Usage

Access to our API is subject to these Terms plus any supplemental API terms provided at the time of access. API usage is rate-limited and subject to fair-use policies. We may throttle or suspend API access if usage exceeds agreed limits or causes degradation of service to other users.

8. Intellectual Property

The Service, including its software, design, branding, and documentation, is owned by GPT Image 2 and protected by intellectual property laws. Nothing in these Terms transfers ownership of our intellectual property to you. You may not use our name, logo, or trademarks without our prior written consent.

9. Third-Party Services

The Service may integrate with or link to third-party services (e.g. underlying AI model providers). These third parties have their own terms and privacy policies, which govern their respective services. We are not responsible for the practices of any third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GPT IMAGE 2 AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.

12. Indemnification

You agree to indemnify, defend, and hold harmless GPT Image 2 and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) your Input Content, (c) your violation of these Terms, or (d) your infringement of any third-party rights.

13. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately, without notice, if you violate these Terms or engage in conduct we deem harmful to the Service or other users. Upon termination, your licence to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 4, 5, 8, 10, 11, and 12) will do so.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date and notify you via email or an in-Service notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

15. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of California, USA, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the courts of San Francisco County, California, and you consent to personal jurisdiction in those courts.
